About the role

Contract Lawyer responsible for independently negotiating and managing high volumes of pre-M&A contracts for sophisticated investment fund and asset manager clients, while leveraging AI-backed tools and mentoring junior team members.

Responsibilities

  • Independently negotiate and execute high volumes of pre-M&A contracts — NDAs, NRLs, joinders, and engagement letters
  • Liaise directly with counterparties against agreed SLAs
  • Serve as the primary day-to-day contact for sophisticated investment fund and asset manager clients
  • Maintain and evolve client-specific contract playbooks, ensuring consistency and quality across negotiations
  • Mentor junior lawyers and paralegals, reviewing their work and contributing to a high-performing team culture
  • Use and continuously improve Carta's legal technology suite, identifying ways to innovate using AI-backed tools
  • Manage the full contract lifecycle for each matter, from first review through execution and system logging

Qualifications

  • Licensed to practise law in the UK, Europe, US, or Canada
  • 3+ PQE
  • Independent track record negotiating pre-M&A contracts (NDAs, NRLs, joinders, engagement letters) in a financial services legal environment
  • Strong relationship-building as trusted adviser to investment fund and asset manager clients
  • Commercially minded with ability to balance legal risk and business objectives
  • Tech-forward with proficiency in AI-backed contract review tools (e.g., Carta Ava), HighQ, and CLM/e-signature systems
  • Collaborative leadership with ability to mentor junior lawyers and paralegals
  • Ability to work in a fast-paced environment and take ownership of work
