About the role

Senior Associate Contract Solutions Lawyer on the Contracts team focused on high-volume pre-M&A contracts for sophisticated investment fund and asset manager clients, leveraging AI-backed tools and collaborating with a multidisciplinary team.

Responsibilities

  • Negotiate and manage high volumes of pre-M&A contracts – including NDAs, confidentiality agreements, NRLs, joinders, and engagement letters – directly liaising with counterparties and adhering to agreed turnaround times
  • Serve as the primary day-to-day contact for clients, building trusted advisor relationships with sophisticated investment funds and asset managers
  • Maintain and update client playbooks on an ongoing basis, ensuring consistency and quality across all contract negotiations
  • Collaborate with and mentor junior lawyers and paralegals, reviewing their work and contributing to a high-performing team culture
  • Contribute to the continuous improvement of Carta's legal technology suite, identifying ways to innovate using AI-backed tools

Qualifications

  • 4+ years of post law school corporate or transactional experience, with a track record of independently negotiating pre-M&A contracts (NDAs, NRLs, joinders, engagement letters)
  • Commercially minded and client-focused; ability to communicate legal advice crisply and concisely to sophisticated financial services clients
  • Experience working with asset managers, investment banks, or other financial services firms
  • Law Degree and licensed to practice in the Americas (US/Canada)
  • Tech-savvy and adaptable; comfortable with legal tech/AI tools (e.g., AI tools, HighQ) and interest in legal tech or AI is a plus
  • Self-starter who thrives in a fast-paced environment, prioritizes effectively, and seeks to improve and innovate
