About the role

Senior Commercial Counsel at Column, a hybrid in-person role in San Francisco focusing on structuring and negotiating complex banking, payments, and fintech-related agreements, building scalable legal playbooks, and partnering with Sales, Risk, and Compliance to support growth.

Responsibilities

  • Own complex agreements end-to-end: Structure, draft, and negotiate complex customer, vendor, and third-party agreements covering banking products and services including payments, money movement, banking partnerships, deposits, card, and lending programs.
  • Build and manage legal playbooks and templates: Develop templates and inventories of contracts, terms of service, notices, and disclosures for the Bank’s products and distribution channels.
  • Negotiate: Lead negotiations with high-growth fintechs and enterprise customers, balancing commercial priorities with regulatory requirements.
  • Develop strong cross-functional partnerships: Work with Sales and Business teams to understand goals, strategy, and risk tolerance to develop efficient, risk-based contracting strategies.
  • Expand into additional areas of law: Support novel research, product and regulatory advice, exam management, subpoena responses, litigation deliverables, and corporate governance materials.
  • Help level up Legal operations: Act as a thought partner to improve bank agreements, policies, and legal processes.

Qualifications

  • 8+ years as a practicing lawyer; priority given to candidates with law firm experience in technology transactions or fintech and/or in-house fintech/financial institution experience
  • Experience driving complex commercial negotiations
  • Ability to independently draft and negotiate commercial agreements with strong understanding of contract law and commercial transactions
  • Comfort with project management, deadlines, and juggling multiple initiatives for multiple stakeholders
  • Nice to have: Understanding of traditional commercial banking products and services (ACH, wire, accounts, lending, cards, cash management, sweeps, check issuance/deposit); experience in structured finance or lending products; understanding of money transmission
