About the role

Corporate Governance Manager to support Meta's legal and corporate secretarial operations across the Asia-Pacific region, with primary focus on India. Responsible for company law, governance, and entity management across APAC subsidiaries, reporting to the Director, Associate General Counsel, Corporate Legal.

Responsibilities

  • Manage and oversee company law, company secretarial and governance operations for Meta's India and wider APAC subsidiaries, including capital contributions, share issuance, RBI and FEMA matters, new entity incorporation, licence expansion, SEZ / STP approvals, shareholder, director and officer changes and the closure of dormant subsidiaries; collaborate with professional services advisors and operate within the group affiliate governance framework
  • Act as the in-country Company Secretary for certain Indian entities requiring a qualified Indian Company Secretary, and as primary owner of the India board calendar, statutory compliance, and event-driven filings; be the day-to-day contact for Indian and APAC escalations
  • Conduct board, shareholder and committee meetings including agenda review, board/shareholder resolutions, and ensure processes for keeping company records up to date
  • Escalation point within India and APAC on annual compliance, director/officer changes, banking resolutions, delegations of authority and powers of attorney
  • Maintain oversight of compliance status across the legal entity portfolio, ensuring statutory documents, licences, registrations and corporate records are properly maintained and that subsidiaries meet filing obligations
  • Advise on complex company secretarial matters within the governance framework and flag risks/opportunities to International Corporate Legal leadership
  • Support ad-hoc team-wide/global projects

Qualifications

  • Bachelor of Laws (LL.B.) degree with knowledge of corporate law, ideally from global professional services firm or multinational corporate legal/secretary office
  • Registered as a Member of the Institute of Company Secretaries of India; appointed as Company Secretary of one or more Indian subsidiaries
