About the role

Google’s in-house liquidity and financial markets team seeks an Associate Corporate Counsel to own advisory within a dedicated Treasury focus area, with secondary coverage for debt and equity deals, across multi-jurisdictional matters.

Responsibilities

  • Serve as the primary legal partner driving strategy and supporting transactions across at least one Treasury pillar Structure and discuss fund commitments, side letters, subscription docs, LPAs, and co-investments.
  • Draft and discuss ISDA Master Agreements, CSAs, prime brokerage, clearing, reinsurance, and insurance arrangements. Discuss global cash management, custody, collateral, and commercial banking agreements, including daily operational support for banking KYC/AML inquiries.
  • Provide execution support on debt capital markets and corporate financings, including bond offerings, parent guarantees, letters of credit, credit facilities, commercial paper, term loans, and covenant compliance.
  • Advise on cross-border regulatory impacts related to securities laws, lending, derivatives regulations (e.g., Dodd-Frank, EMIR), and the Investment Company Act of 1940.
  • Partner with Treasury, Tax, and Accounting on high-stakes initiatives, risk assessments, and new financial transactions.

Qualifications

  • JD, LL.B., equivalent degree, or equivalent practical experience.
  • Admitted to the bar and in good standing or otherwise authorized to practice law (e.g., have registered in-house status) in the state in which the position is located.
  • 3 years of attorney-level experience in one of the following areas: private investment funds (e.g., LPAs, side letters, subscription agreements) or derivatives or trading counterparty agreements (e.g., ISDAs, CSAs).
