About the role

Legal Counsel in Toronto, hybrid role focusing on commercial and corporate matters, including drafting and negotiating services, product and technology-related agreements, subsidiary governance, intercompany arrangements, and strategic transactions.

Responsibilities

  • Drafting and negotiating services, new product and technology-related agreements, including master services agreements, partnership agreements, confidentiality agreements, business associate agreements, SaaS agreements, data protection agreements, software licenses, subcontractor agreements, supplier agreements, and related statements of work.
  • Support corporate legal matters, including subsidiary governance, intercompany arrangements, and strategic transactions.

Qualifications

  • JD and active member of an applicable law society or a U.S. state bar
  • 5+ years of experience in commercial legal practice, with exposure to corporate legal matters
  • Proven ability to independently negotiate complex business transactions under tight deadlines
  • Demonstrated capacity to analyze and resolve sophisticated legal and business issues with practical, commercially minded solutions
  • Excellent analytical, written, and verbal communication skills; ability to present complex information clearly and persuasively
  • Self-starter with ability to work independently while remaining collaborative and solutions-driven
  • Strong interpersonal skills with a persuasive and influential style
  • Demonstrated client service orientation and ability to balance legal risk with business objectives
  • Experience or strong interest in process improvement, legal technology, and emerging areas such as artificial intelligence
  • Experience supporting corporate governance matters, including board/shareholder approvals and maintenance of corporate records; experience advising on intercompany matters and internal delegation processes
  • Experience supporting strategic transactions, including acquisitions, investments, reorganizations, and complex commercial partnerships
