About the role

Senior Commercial Counsel with deep expertise in commercial contracts, IP, privacy, and regulatory matters, focusing on SaaS/AI products. Join Sierra’s legal team to structure, negotiate, and optimize commercial agreements, build scalable processes, and advise broadly across the business in a fast-growing, hyper-scaling environment.

Responsibilities

  • Structure, negotiate and advise on all commercial contracts, including SaaS subscription agreements, technology licenses, professional services agreements, channel partner agreements, vendor agreements and NDAs.
  • Commercial privacy and security contracting experience (e.g., DPAs, BAAs, security agreements) is a plus.
  • Help build out the commercial function to be best in class by developing templates, playbooks, and workflows to drive efficiency and scalability.
  • Provide deep knowledge in contract law, IP and privacy; advise on AI-related regulatory frameworks and contractual issues.
  • Collaborate cross-functionally with Sales, Operations, and Agent Development teams to support revenue growth and strategic initiatives.
  • Mentor and train junior team members; exercise sound judgment in a fast-paced, scaling business.

Qualifications

  • 6+ years of legal experience, with a mix of large law firm and in-house tech company experience (open to exceptional candidates with less experience for Commercial Counsel).
  • Strong background in negotiating and managing complex commercial contracts, preferably in SaaS, AI, or enterprise software.
  • Strong communication skills and ability to partner with legal and non-legal stakeholders.
  • Proactive mindset and ability to navigate ambiguity in a fast-paced startup environment.
