About the role

Full-time, exempt role supporting Everlaw's contracting engine with AI-assisted workflows. Reviews, negotiates, and manages a range of commercial agreements, partnering with Sales and Finance from the Oakland, CA office with a hybrid schedule.

Responsibilities

  • Review, redline, and negotiate customer-facing SaaS subscription agreements, order forms, NDAs, and statements of work using Everlaw's standard positions and playbooks.
  • Review and negotiate inbound vendor and software licenses, professional services agreements, and procurement contracts.
  • Apply, maintain, and update Everlaw's contract playbooks, fallback positions, and standard form agreements as our business and legal landscape evolve.
  • Serve as a responsive legal partner to Sales and Finance, offering pragmatic advice on contract terms affecting revenue recognition, billing structures, and deal velocity.
  • Thoughtfully integrate approved AI productivity tools into daily workflows to optimize contract review, issue spotting, drafting, and negotiation preparation.
  • Answer day-to-day contract questions from internal stakeholders and keep pace with legal developments in SaaS, AI, data privacy, and cloud technologies.

Qualifications

  • 1–3 years of commercial contracting experience in-house at a technology company or at a law firm with a SaaS client focus, along with a J.D. and active state bar membership.
  • Hands-on experience negotiating critical terms like Limitations of Liability, Indemnification, IP Rights, and Data Security, plus experience with NDAs, DPAs, or BAAs.
  • Clear, concise redlines and ability to calibrate communication for legal, business, and technical audiences.
  • Process-oriented, curious about AI legal tools, and able to manage multiple concurrent deal streams under tight timelines.
  • Authorized to work in the United States. Everlaw is not sponsoring U.S. employment visas for this role.
